Welcome to Traycer. These Terms of Service ("Terms", "Terms of Service") govern your relationship with the Traycer website and collaborative services (the "Service") operated by Traycer ("us", "we", or "our"). Please read these Terms of Service carefully before using the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

1. Accounts and Registration

When you create an account with Traycer, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

2. Subscriptions and Billing

2.1 Subscription Plans

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Traycer cancels it.

2.2 Fee Changes

Traycer, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

2.3 Refunds

Except when required by law, paid Subscription fees and credit purchases are non-refundable. Unused credits in the Pay-as-you-go model never expire but cannot be redeemed for cash or credit back to your payment method.

3. Content and Intellectual Property

3.1 Your Content

Our Service allows you to create, store, and share vector graphics, diagrams, and logic flows ("Content"). You retain any and all of your rights to any Content you submit, post, or display on or through the Service and you are responsible for protecting those rights. By using Traycer, you grant Traycer a license to host and store your Content solely for the purpose of providing the Service to you.

3.2 Company Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Traycer and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.

4. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • To transmit, or procure the sending of, any advertising or promotional material, including "junk mail", "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Traycer, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service.

5. Limitation of Liability

In no event shall Traycer, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.

6. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

7. Indemnification

You agree to defend, indemnify, and hold harmless Traycer and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; or b) a breach of these Terms.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
